VSA’s Operations team leads all of the internal operating functions of VSA including: Administration, Human Resources, IT, Legal, Talent Acquisition, Resourcing, and Project Management. The legal team’s mission is to advance business objectives by being a valued and innovative business partner in VSA's provision of branding, design, and marketing services to its clients. The Corporate Counsel works directly with the General Counsel and supports a range of legal and business activities, including contract drafting and negotiation, data privacy and security, compliance, facilities, and employment matters. The assignments and responsibilities require direct contact with internal and external clients, proficiencies in handling sophisticated legal issues, the ability to work with independence, and a candidate who possesses critical judgment. A significant focus of the position involves drafting, negotiating, and analyzing commercial contracts, as well as creative/advertising review. Responsibilities also include applying preventive strategies to minimize legal and business risks and safeguard the company’s reputation. We are a small but dynamic team and we are looking for Corporate Counsel who will bring excellent judgment, pragmatism, optimism, modesty, and a sense of humor to the mix!


This position can be based in Chicago or New York.

  • Draft, review, negotiate, and interpret multifaceted commercial agreements while applying a proven understanding of relevant legal subject matters, such as marketing and vendor contracts, master service agreements, consulting agreements, and other corporate contracts (including NDAs, image and content licenses, client SOWs, media insertion orders, talent agreements, software license agreements).
  • Provide legal perspective to internal stakeholders on a variety of topics, including application and interpretation of laws and regulations (including the attorney-client privilege, data privacy laws, FTC guidelines), contract interpretation, and legal exposure.
  • Review creative deliverables, social-media content, and marketing and consumer/product promotions materials (i.e., social-media promotions, print and digital ads, broadcast and radio commercials, packaging, and consumer-facing materials, websites, promotions, advertising, etc.) to ensure compliance with company/client policy and legal requirements.
  • Conduct legal and/or business research using primary and secondary resources, provide timely and relevant information, and respond to legal inquiries.
  • Coordinate and assist with preparation and filing of state corporate documents.
  • Research, prepare and conduct legal training on varied topics and advise diverse stakeholders.
  • Conduct trademark clearance searches.
  • Oversee and coordinate corporate environmental responsibility, supplier diversity, and similar programs.
  • Responsible for the efficient and organized flow of work. Make recommendations regarding standardized and standard methodologies to facilitate processes, procedures, and policies, or implementation of new policies and/or procedures.
  • Interact with and manage outside counsel as needed.
  • Provide support on other legal matters or policies and issues as needed and serve as a vital member of the Legal team.
  • Keep advised of new laws, regulations, and industry trends affecting the company, and assist with the development of policies and training as needed.
  • Proactively identify and present risk analysis and mitigation strategies to internal stakeholders as well as provide guidance to assure accurate interpretation of contractual obligations and compliance with applicable laws and regulations.
  • Handle additional projects as requested.

  • Undergraduate degree and Juris Doctor degree with academic achievement from highly regarded institutions.
  • Licensed to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel

Related Experience:

  • 5+ years related transactional/contract experience and soft intellectual property law (copyright, trademark, rights of publicity/privacy, etc.)
  • Minimum 6-8 years in a law firm and/or in-house setting; a combination of in-house and law firm experience is preferred.

  • Strong analytical, negotiation, critical thinking, and problem-solving skills.
  • Detail-oriented with the ability to balance multiple high-priority tasks independently, with minimal direction.
  • Enthusiastic teammate, proactive self-starter, and a quick learner.
  • Strong familiarity with review and drafting of commercial contracts, with emphasis on matters involved in content creation and distribution, such as music and image licenses, production agreements, talent agreements, media buys, trafficking, etc.
  • Experience with review of creative output, advertising, and promotional materials for compliance with internal policies, client protocols, and applicable laws and regulations, such as issues involving trademarks, copyright, right of publicity, privacy, etc.
  • Computer savvy, including proficiency with Google collaboration tools (docs, sheets, slides), and Microsoft Office Suite (MS Word, Excel, PowerPoint).
  • Extensive experience with licensing, advertising, and marketing legal issues, as well as state and federal regulatory agencies, including the FTC, strongly preferred

Other desired skills and abilities:

  • Familiarity with privacy and data security laws and their practical application.
  • Understanding of finance fundamentals, and information governance standard methodologies
  • Familiarity with trademark databases such as Saegis or equivalent; able to conduct searches and prepare reports using online resources
